Seller & partner terms

The plain-English version of what it means to sell Ruuno websites as an independent seller or partner: how you earn, how you are paid, and the rules that keep customers, Ruuno and you safe.

Draft. These terms are written in plain language and are pending review by a Malaysian lawyer. If anything here matters to a decision you are making, ask us and we will confirm it in writing.

Who this is for

These terms apply to anyone who registers as a seller or partner at seller.ruuno.co, uses the seller portal, Ruuno Leads or Ruuno Training, or earns commission from Ruuno Tech Lab (registration number 202603239141, trading as Ruuno).

The full programme, including the commission ladder and worked examples, is in the Seller & Partner Programme handbook available in your portal. Where these terms and the handbook differ from a signed agreement, the signed agreement prevails.

Your status

You are independent. You are not an employee, agent or representative of Ruuno Tech Lab, and nothing here creates an employment, agency or joint-venture relationship. There is no salary, no minimum hours and no exclusivity.

Commission is paid gross. You are responsible for your own tax, declarations and any licences your own business needs.

Every customer contract is between the customer and Ruuno Tech Lab, never with you. You may not sign anything on Ruuno's behalf, and you may not present yourself as Ruuno staff.

Joining and your account

Registration is free and there is never a joining fee, a deposit or anything to buy. Accounts are approved by hand and we may decline or delay an application without giving a reason. Training at training.ruuno.co is open while an application is pending.

Your account is personal. Keep your password to yourself, do not share your login, and tell us straight away if you think it has been used by someone else.

One person, one account. Registering more than once, or registering a business you own or control as a customer to inflate your numbers, is a breach.

What you may sell, and what you must say

You sell the Ruuno website subscription at the published price and on the published terms. You may not change the price, offer a discount, promise extra free months, or agree special deals.

Before a customer signs you must explain the price, the free first month, the 12-month minimum term, the early-exit fee, the three rounds of changes before go-live and the weekly change batch afterwards. You must never say the customer can cancel at any time or that there is no contract.

Every customer payment goes through Ruuno's official payment link or QR. You must never accept cash, a transfer to a personal account, or any payment on Ruuno's behalf.

You may not promise features, delivery dates, search rankings or business results that are not in the handbook. Custom work (online shops, bookings, apps and similar) is quoted by Ruuno; you record the lead and never quote a price or a timeline for it.

Be truthful about Ruuno. Our example sites are examples of our work, not paying customers, and must be described that way. Never invent customers, reviews or results.

Commission

Commission is a percentage of the net customer payment: what reaches Ruuno's account after the payment gateway's fee. Your rate starts at 20% and rises with your number of active customers, as set out in the handbook. A rate you reach is held for at least three months. Sellers are capped at 30%; partners continue to 40%.

Commission is earned only when the customer's payment is confirmed in Ruuno's account: not at signup, not at go-live. It is paid on every payment the customer makes for as long as they stay.

A sale counts as yours only if your seller code is recorded on the customer's signup form. The signup form and the payment records decide who the source of a sale was.

Refunds and chargebacks reverse the commission on that payment. If it has already been paid out, it is deducted from your next payout.

Teams and partners

A seller may recruit other sellers using their invite code. This is one level only: you earn 5% of net on the customers your direct recruits personally close, and their active customers count toward your rate. You earn nothing from your recruits' recruits, and nothing for recruiting itself. This is a referral scheme, not multi-level marketing.

A partner is a registered business with its own team and first-line support duty for its own customers, on the extended ladder. A partner receives one payout to its business account and is responsible for paying its own team. Partner requirements, conversion and loss of partner status are set out in the handbook.

Total commission on any single customer never exceeds 40%, whatever the combination of seller, recruiter and partner.

Payouts

You can withdraw when your payable balance reaches RM100 (Malaysia) or Rp400.000 (Indonesia), or during the 7 days either side of a calendar quarter end, whichever comes first.

Malaysia: local bank transfer or DuitNow, no fee. Indonesia: Wise transfer in rupiah, with the transfer fee deducted from the payout and shown in the portal. Withdrawal requests are settled within 5 working days.

We may hold a payout while a payment is disputed or an account is under review for a suspected breach, and we will tell you why.

Tools, leads and data

The seller portal, Ruuno Leads and Ruuno Training are provided for selling Ruuno websites and for nothing else. Business listings shown in Leads are collected from public sources for that purpose. You may not copy, export, resell or use them for any other business, and you may not share your access with anyone.

Leads assigns a business to the first seller who contacts it for a limited time so owners are not messaged twice. Follow the contact rules in the training: identify yourself, one link, one follow-up, no messages late at night, and stop when someone says no.

We record what you do in these tools: searches, contacts, link taps, pipeline stages, training progress and exam results. Management can see them. They are used to run the programme, verify commission and the leaderboard, and decide on approvals. See the privacy policy for how personal data is handled.

We may suspend or limit tool access at any time to protect customers, business owners or the service.

Brand and conduct

You may use the Ruuno name and the materials we provide to sell Ruuno websites. You may not use the Ruuno name or logo on anything we have not approved, run paid advertising in Ruuno's name, or register domains or social accounts using the Ruuno name.

Do not badmouth competitors, other sellers or Ruuno staff. Do not pressure anyone who has said no. Treat every business owner the way you would want your own business treated.

Leaving and termination

You can leave with 30 days' notice. Commission earned up to the end of the notice period is paid at the next payout; after that, commission on your customers stops. Customers stay with Ruuno.

With no active customers for 6 consecutive months your account becomes dormant. Any balance above the withdrawal minimum is paid out, and the account can be reactivated by closing a new customer.

Discounting, taking payments personally, false promises, self-dealing, misuse of the brand, sharing your account or misusing leads data end the relationship immediately. Commission on the deals involved is forfeited. Other commission already earned and confirmed is paid.

Disputes, changes and law

Raise any dispute in writing through the portal or on WhatsApp at +60 19-335 5150. Management replies within 10 working days.

We may change these terms and the programme with 30 days' notice on the portal. Rates already earned are never changed retroactively.

These terms are governed by the laws of Malaysia.
